📄 STANDARD TERMS AND CONDITIONS OF SALE

(for International Trade)

1. Prices and Currency

All prices are quoted in US Dollars (USD) unless otherwise stated and are exclusive of any applicable taxes, duties, or other governmental charges.

2. Minimum Order Quantity

The minimum purchase quantity is 20 metric tons per order, unless agreed otherwise in writing.

3. Delivery Terms

Unless otherwise specified, prices are based on CIF (Cost, Insurance, and Freight) to the designated port. The seller will arrange shipping and insurance to the buyer’s nominated port.

4. Delivery Schedule

Delivery shall be made within 12–15 business days after confirmation of the order and receipt of advance payment.

5. Payment Terms

• 50% deposit upon order confirmation via T/T (Telegraphic Transfer)

• 50% upon presentation of shipping documents, including the Bill of Lading (B/L)

6. Inspection and Claims

Any claims for product defects or quantity discrepancies must be reported in writing within 7 days of receipt. Supporting evidence and photos must be provided.

7. Force Majeure

The seller shall not be liable for delays or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, war, embargo, or port restrictions.

8. Retention of Title

Ownership of the goods shall remain with the seller until full payment has been received.

9. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of Thailand, and any dispute shall be submitted to the jurisdiction of the courts of Thailand.
